By accessing this website, engaging Elite Vivant services, or using Vivant Suite, you agree to these Terms and Conditions. Vivant Suite refers to the SaaS platform powered by Elite Vivant, built on third-party infrastructure, including GoHighLevel. User refers to any individual or business accessing the website, services, or Vivant Suite. Services refer to consulting, strategy, implementation, and advisory services provided by Elite Vivant.

Use of the Website

You may use the Elite Vivant website for lawful purposes only. You agree not to use the website in a way that could damage, disrupt, or interfere with its operation or security. Elite Vivant may update, modify, or remove website content at any time without notice.

Professional Services

Elite Vivant provides strategic consulting, brand strategy, marketing systems, automation support, website strategy, and leadership advisory services. Brand Clarity Conversation

The Brand Clarity Conversation is a paid working session. It is not a sales call and does not guarantee future services or platform access. Any application of session fees toward future engagements must be agreed to in writing by both parties.

Vivant Suite Platform Access (SaaS)

• Vivant Suite is a software platform powered by Elite Vivant and delivered using third-party infrastructure, including GoHighLevel.
• By using Vivant Suite, you acknowledge and agree that:
• Elite Vivant operates and manages Vivant Suite but does not own the underlying telecommunications networks or carrier systems
• Platform availability, features, and performance depend on third-party providers
• Elite Vivant may modify, suspend, or discontinue platform access to maintain compliance, security, or system integrity

Elite Vivant is not responsible for carrier filtering, message delivery failures, platform outages, or regulatory enforcement actions beyond its control.

Messaging, SMS, and A2P Compliance

If you use SMS, MMS, or messaging features through Vivant Suite:

• You are solely responsible for obtaining and maintaining proper end-user consent
• You must comply with all applicable laws, carrier rules, and industry standards, including CTIA guidelines and A2P 10DLC requirements
• You may not send prohibited, misleading, unlawful, or non-compliant content

Elite Vivant reserves the right to suspend or terminate messaging access immediately if violations are detected. Any carrier fines, penalties, or enforcement actions resulting from non-compliant use are the sole responsibility of the User.

Payments, Subscriptions, and Fees

Users agree to pay all applicable fees as outlined in proposals, invoices, or subscription agreements. Subscription fees for Vivant Suite are billed according to the selected plan. All payments are non-refundable unless otherwise stated in writing. Failure to pay may result in suspended access or terminated services.

Intellectual Property

All frameworks, methodologies, systems, documentation, platform configurations, designs, and materials created by Elite Vivant remain the intellectual property of Elite Vivant unless otherwise agreed in writing. Users are granted a limited, non-exclusive, non-transferable right to use provided materials for internal business purposes only. Materials may not be resold, sublicensed, distributed, or shared without written permission. Elite Vivant may reference anonymized or approved work for portfolio or case study purposes.

User Responsibilities

Users agree to:

• Provide accurate information
• Maintain security of account access
• Use Vivant Suite and Elite Vivant services in compliance with applicable laws and these Terms

Elite Vivant is not responsible for delays or issues caused by User actions or inaction.

Confidentiality

Both parties agree to keep non-public information confidential and use it only for legitimate business purposes. Confidentiality does not apply to information that becomes public through no fault of either party.

No Guarantees

Elite Vivant provides strategy, systems, and platform access based on professional experience and best practices. We do not guarantee business outcomes, revenue growth, lead volume, or performance metrics. All business decisions remain the responsibility of the User.

Limitation of Liability

Elite Vivant is not liable for indirect, incidental, consequential, or special damages arising from use of the website, services, or Vivant Suite. Total liability shall not exceed the amount paid for the specific service or subscription giving rise to the claim.

Third-Party Services

Vivant Suite relies on third-party platforms and providers. Elite Vivant is not responsible for changes, outages, pricing updates, or performance issues caused by third-party providers. Users agree to comply with all applicable third-party terms.

Termination

Either party may terminate services or platform access according to applicable agreements. Elite Vivant reserves the right to suspend or terminate access immediately for violations of these Terms, non-payment, or compliance risk.

Governing Law

These Terms are governed by the laws of the United States and the state in which Elite Vivant operates.

Changes to These Terms
